Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Sparkbuilt Labs, a sole proprietorship registered in the State of Illinois under an assumed business name ("doing business as" or DBA) ("we," "us," or "our"), governing your access to and use of all Sparkbuilt Labs applications and services, including Theradi and any future Sparkbuilt Labs products (collectively, the "Services"). When these Terms refer to "Sparkbuilt Labs," "we," "us," or "our," they refer to that sole proprietorship and its owner operating under the Sparkbuilt Labs name.

By downloading, installing, or using any of our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

Eligibility

You must be at least 13 years of age to use our Services. By using our Services, you represent and warrant that you meet this requirement. If you are between the ages of 13 and 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

User Accounts

3.1 Account Creation

Certain features of our Services require you to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@sparkbuiltlabs.com if you suspect any unauthorized access to your account.

3.3 Account Termination

You may delete your account at any time through the application settings or by contacting us. We reserve the right to suspend or terminate accounts that violate these Terms.

Acceptable Use

4.1 Permitted Use

You may use our Services only for lawful, personal, non-commercial purposes in accordance with these Terms.

4.2 Prohibited Conduct

You agree not to:

• Use our Services for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorized access to any portion of our Services or related systems.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of our applications.
• Upload or transmit any viruses, malicious code, or other harmful content.
• Use our Services to harass, abuse, or harm others.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Use automated tools (bots, scrapers, crawlers) to access or interact with our Services.
• Attempt to circumvent any security features of our Services.

Your Content

5.1 Ownership

You retain full ownership of all content you create within our Services, including journal entries, reflection notes, and any other personal content ("User Content"). We do not claim any ownership rights over your User Content.

5.2 License to Us

By using our Services, you grant Sparkbuilt Labs a limited, non-exclusive, royalty-free license to store, process, and transmit your User Content solely for the purpose of providing the Services to you. This license does not extend to using your content for advertising, marketing, or any other purpose.

5.3 Your Responsibility

You are solely responsible for your User Content. You represent and warrant that you have all rights necessary to submit your content and that your content does not violate any third-party rights or applicable laws.

Subscription & Payments

Some features of our Services may require a paid subscription. All purchases are processed through Apple App Store or Google Play and are subject to their respective terms and refund policies. Sparkbuilt Labs does not directly process payment information.

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. You may manage or cancel your subscription through your App Store or Google Play account settings.

All fees are non-refundable except as required by applicable law or as expressly stated by the applicable app store.

Intellectual Property

Our Services and all content, features, and functionality within them — including but not limited to software, design, text, graphics, logos, and icons — are owned by Sparkbuilt Labs and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any portion of our Services without our prior written consent.

Disclaimers

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our Services will be uninterrupted, error-free, or free of viruses or other harmful components.

Limitation of Liability

To the maximum extent permitted by applicable law, Sparkbuilt Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or loss of goodwill, arising out of or in connection with your use of our Services, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising from these Terms or your use of our Services shall not exceed the amount you paid to us in the twelve months preceding the claim, or $100 USD, whichever is greater.

Indemnification

You agree to indemnify, defend, and hold harmless Sparkbuilt Labs and its owner, successors, and assigns from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of our Services, your User Content, or your violation of these Terms.

Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of our Services shall first be attempted to be resolved through good-faith negotiation. If a dispute cannot be resolved informally, it shall be submitted to binding arbitration in Cook County, Illinois, in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you through the application or by email at least 14 days before the changes take effect. Your continued use of our Services after the effective date of the revised Terms constitutes your acceptance of the changes.

If you do not agree to the revised Terms, you must stop using our Services before the effective date of the changes.

Miscellaneous

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sparkbuilt Labs regarding the Services and supersede all prior agreements.

No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
